Terms and Conditions

We are My Mindful Match LLC, (also referred to as “Company”, “My Mindful Match” or “MMM”) an Arizona limited liability company, and we are the operator of My Mindful Match and this website. Should you need to contact us our contact information is below.

This site is available only for people who are U.S. citizens or lawful residents of the United States. If you are located outside the United States, please do not use our services. By using our website and our services you agree to these terms and conditions, which may be updated from time to time.

1. Client Eligibility:  All customers must be U.S. Citizens or lawful residents of the United States.  In addition, you must be located within reasonable proximity to locations where our services are generally provided.  As we are a dating service, we must be geographically able to match you with other clients who may be a qualified match to your profile.
   

   1. No Children Allowed: Our services are limited to adults over 18 years of age. No one under 18 is authorized to use our services. We reserve the right to take steps to require age verification for use of our services.

2. Services Provided by My Mindful Match:  My Mindful Match will provide the following services to Client:

2. Individualized One-on-One Coaching: Tailored coaching sessions designed to enhance dating skills, self-awareness, and emotional intelligence. Coaching services will be provided on a regular basis, with coaching sessions normally being provided in two (2) sessions per month. Additional coaching can be arranged, but additional charges may apply to such additional sessions.
3. Exclusive Events and Mixers: Curated gatherings providing opportunities for networking, socializing, and forming meaningful connections in an upscale setting.   Client will be invited to a minimum of one (1) curated social gathering per months. Customers are reminded that these gatherings are limited and not all gatherings are open to all members. Client will be invited to selected gatherings based upon information learned during the coaching sessions and coaches will determine which gatherings are best suited for each Client.
4. Handpicked Matches: Carefully selected matches based on comprehensive compatibility assessments, personal preferences, and shared values to facilitate harmonious relationships. Clients can expect a minimum of one qualified match over the first 4 months of this agreement. Clients may be offered additional matches depending on their individual assessment and potential compatibility with other members.
5. Complete Date Coordination: Meticulous planning and coordination of romantic encounters to ensure a seamless and enchanting experience for Clients and their chosen companions.
6. Post-Date Follow-Up: Detailed debriefing sessions and personalized guidance after each date to reflect on experiences, identify areas for growth, and plan next steps. Postdate follow-up will usually involve a 15 minute phone call with a coach within 2 days after a date.
7. Ongoing Relationship Coaching: Continuous support and mentorship for Clients navigating the complexities of budding relationships, offering guidance on communication, conflict resolution, and emotional intimacy.
8. No Guarantees for a Match: While MMM takes pride in its expertise and personalized approach to matchmaking, the complexities of human connections and individual preferences make it impossible to provide a guarantee for a match. Client dedication, active participation, and openness significantly enhance the likelihood of successful matches. Failure of MMM to provide a suitable match will not be considered breach of this Agreement.
9. Matches Outside of the Program: The services MMM provides to the Client include providing the Client with dating skills training, relationship coaching and other skills that will facilitate and enhance the Client’s interpersonal skills. These skills will enhance the Client’s opportunities for a successful match either within or outside of the MMM program. In addition, at the Client’s reques,t MMM’s date coordination, postdate follow up and ongoing coaching services may be applied to matches outside MMM’s organization (additional terms and conditions may apply).
10. Fees and Payment Terms:
    
    1. Fee Schedule: Our fees are specified in our Fee Schedule. Our Fee Schedule is available on request [OR you can click here for a copy of our current fee schedule. Our fees generally include a sign-up fee and a recurring monthly fee. Other fees may apply depending on the services provided.
    2. Credit Card Authorization: You agree to provide us with a valid credit card and you authorize us to charge the applicable fees to your credit card on file with MMM. You may change your authorized credit card at any time by giving us new credit card information and authorization to charge that new card on file.
    3. Declined Card: If any credit card charges are refused or declined you agree to pay any charges and any fees incurred due to the credit card being denied.
    4. Collection Costs: In the event we need to employ a collection agency or attorney to collect any charges due to MMM, you agree to pay all costs of collection, including any costs and attorneys’ fees incurred.

11. Client Responsibilities:
    
    1. Client agrees to comply with the terms and conditions of this agreement and to abide by any policies set by MMM.
    2. Client acknowledges receipt of our Safety Policies which is available here.
    3. Client will notify MMM promptly if he or she learns that any information he or she provided to MMM is not correct or if any of the representations or warranties contained in this agreement are not true or become untrue.
    4. MMM encourages you to report any inappropriate actions that occur when using our services or that involve any other MMM client, customer, employee or staff member.  Reports can be made to any MMM officer or any member of the MMM management team or can be reported through our Safety Center at [email protected].
    5. Client will not provide any false or misleading information about any other MMM client, customer, employee, or staff member.

12. Client Representations and Warranties: Client represents and warrants to MMM that: All information provided by Client to MMM is true and correct.
    
    1. All information and materials provided by Client to MMM may be used by MMM for the purpose of providing services pursuant to the terms of this Agreement.
    2. Client is an adult over 18 years of age and a U.S. citizen or lawful resident of the United States.
    3. Client is not currently married.
    4. Client has the full power and authority to enter into this agreement.
    5. Client is not prohibited by law from using MMM’s services.
    6. Client has not been convicted of any crime involving an act of violence, sexual violence, sexual assault, domestic violence, or any similar criminal action. Client is not registered as a sex offender in any jurisdiction.
    7. Client does not have an order against harassment, protective order, or any similar court order entered against him or her.
    8. Client consents to have MMM or its authorized agents conduct a criminal background check of Client.
    9. Client has the authority to provide to MMM all materials he or she provides to MMM.
       
       

13. Disclaimers:
    
    1. MMM SERVICES ARE PROVIDED “AS IS.” MMM MAKES NO REPRESENTATIONS OF ANY KIND OR NATURE WITH REGARD TO ITS SERVICES, AND EXPRESSLY DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE.
    2. MMM further cannot guarantee the accuracy of any information about any other MMM client, including any information about any other client that may be proposed to you as a possible match. We make no warranty or representation about accuracy or completeness of any information provided by any other client or any third party.
    3. Disclaimer Regarding Background Checks: While MMM performs criminal background checks on the clients who participate in our programs, Client acknowledges that these checks are conducted by third parties who are professionals in this field. We cannot guarantee that these criminal background checks are 100% accurate or complete. Further, a criminal background check cannot guarantee a Client’s (your) absolute safety on a date or in any social situation.  You acknowledge that you have been advised of the information in this paragraph and the other safety information available on our website and have been advised that you should at all times take appropriate steps to ensure your own safety in any situation.

14. Limitation of Liability:
    
    1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MMM, OR OUR AFFILIATES, EMPLOYEES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, DAMAGES, INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) THE CLIENT’S ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES, OR (II) THE CONDUCT OR CONTENT OF ANY MEMBER, USER OR THIRD PARTY; EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MMM’S AGGREGATE LIABILITY TO CLIENT FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE AMOUNT PAID, IF ANY, BY THE CLIENT TO MMM FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE DATE THAT YOU FIRST FILE A CLAIM AGAINST US. THE DAMAGES LIMITATION SET FORTH IN THE IMMEDIATELY PRECEDING SENTENCE APPLIES (i) REGARDLESS OF THE GROUND UPON WHICH LIABILITY IS BASED (WHETHER DEFAULT, CONTRACT, TORT, STATUTE, OR OTHERWISE).
    3. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

15. Indemnity: Client agrees to indemnify, defend and hold MMM harmless from and against any claims: (i) arising out of any negligent act, gross negligence, intentional act or willful misconduct by Client; (ii) Client’s breach of any of this Agreement or any related policies; or (iii) any violation of any law by Client.  This indemnity covers MMM and its officers, employees, agents, and representatives. “Claims” as used in this paragraph includes any claim, demand, action, cause of action, damage, or liability, including the cost of defending any such claim, including costs and attorneys’ fees
16. Term and Termination:
    
    1. Client may terminate this agreement at any time after four (4) months from the beginning date of any services provided by MMM. Client may terminate this agreement by giving MMM not less than 30 days’ written or electronic notice of termination to MMM.
    2. MMM may terminate this agreement:
       
       1. Upon 10 days written notice of termination in the event of a breach of this agreement, unless such breach is cured within such 10 day period.
       2. Immediately upon a breach of this agreement involving any inappropriate conduct by Client or a breach of any of the attached policies by Client.
       3. Immediately upon any act by Client that involves or threatens the safety and security of any other Client, or any MMM employee or staff member.
       4. For its convenience, at any time upon 30 days’ written or electronic notice after the expiration of four (4) months from the date of this Agreement.

17. Confidentiality:
    
    1. “Confidential Information” as used in this agreement means any information disclosed by the Client to MMM in connection with the services provided by MMM to Client; except “Confidential Information” does not include any information which is publicly known or available (except for information that becomes public through a breach of this Agreement); any information disclosed to MMM by a third party not under an obligation of confidentiality to Client; any information learned or developed by MMM independent from its disclosure by Client and not based on any Confidential Information disclosed by Client to MMM.
    2. Except as otherwise provided in this paragraph MMM will not disclose any Confidential Information to any third party except as authorized by Client nor use any Confidential Information for any purposes other than to provide services to Client in accordance with the terms of this Agreement or as expressly authorized by Client.
    3. Limitations on Confidentiality. Nothing in this agreement will prevent MMM from sharing any information about Client with the police or any law enforcement agency if in MMM’s reasonable judgment such disclosure is necessary or appropriate to prevent a reasonable risk of harm to Client, to any other client of MMM, to any MMM employee or staff member, or any member of the public; to prevent a crime; or at the request of any law enforcement agency.
    4. The obligations of this paragraph will survive termination of this Agreement.
    5. Client acknowledges and agrees to comply with the terms of our Privacy Policy.

18. Changes to Services: MMM reserves the right to change the scope of services or update its schedule of fees from time to time upon notice to Client. If the Client objects to the new schedule of services or schedule of fees it may give MMM notice that it declines the new terms and that it is terminating the agreement effective 30 days after the notice of the new schedule of services or schedule of fees is given. If Client does not give MMM such notice, the new schedule of services will apply to this agreement from that date forward, unless a different effective date is specified in such notice.
19. Arbitration:
    
    1. CLIENT WAIVES ANY RIGHT CLIENT MAY HAVE TO A TRIAL BY JURY FOR ANY DISPUTE ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES PROVIDED BY MMM.  Client further waives any right to class action relief for such claims.
    2. Except as provided below, Client agrees that any and all disputes arising out of or related to the services MMM provides or arising out of or related to this Agreement will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will be conducted in Phoenix, Arizona and will be conducted in English. Unless the amount in dispute in such proceeding is greater than $100,000 the arbitration will be conducted by a single arbitrator. If the amount in dispute is greater than $100,000 then upon the request of either party the matter will be determined by a panel of three arbitrators. All arbitrators will be selected in accordance with the rules of the American Arbitration Association. The arbitrator may, in his or her discretion, award the prevailing party the costs of the arbitration and his or her attorneys’ fees incurred in such action. Any arbitration award may be enforced in any court of competent jurisdiction.

21. Additional Provisions:
    
    1. No Assignment: The services to be performed for Client are personal to Client. For this reason, Client may not assign or transfer any rights it has under the terms of this agreement without the prior written consent of MMM.
    2. Descriptive Headings:  The headings used in this agreement are merely included for convenience.  They shall not in any manner expand or limit the rights or obligations of any party as set forth in the body of the agreement.
    3. Governing Law:  These Terms of Use will be governed by the laws of the United States and the State of Arizona.  To the extent any dispute is not resolved by arbitration you consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, State of Arizona for any matter arising out of this agreement.
    4. Attorneys’ Fees and Costs:  In any legal action or arbitration brought arising out of or related to these Terms of Use, the prevailing party will recover its court costs and its reasonable attorneys’ fees incurred in such action.
